AetherSpool End User License Agreement

Version 1.0 — Draft for Review
Effective date: August 16, 2026

This End User License Agreement (the Agreement) is between David Lavallee (the Licensor) and the individual or legal entity that obtains AetherSpool (the Licensee). AetherSpool, including its standalone application, VST3 plug-in, Audio Unit (AU) plug-in, any other supplied plug-in formats, factory presets, documentation, and included updates, is referred to as the Software.

By installing, copying, or using the Software, the Licensee agrees to this Agreement. If the Licensee does not agree, the Licensee must not install or use the Software and should request any available refund through the seller under the seller's applicable refund policy.

1. License Grant

Subject to this Agreement, the Licensor grants the Licensee a limited, non-exclusive, non-transferable, revocable license to:

- install and use the Software on up to three computers owned or controlled by the Licensee;
- use the Software to create, perform, record, mix, and render audio or music for personal or commercial purposes, including work produced for clients;
- distribute, broadcast, perform, license, and sell audio or music created with the Software without paying additional royalties to the Licensor; and
- make one reasonable archival or backup copy of the Software.

If the Licensee is a business or other legal entity, the license is for one named user unless the Licensor has agreed in writing to a multi-user or site license.

2. Musical Work and Preset Rights

The Licensee owns the Licensee's original musical and audio productions created with the Software. The Licensor claims no ownership of those productions.

The Licensee may share presets created entirely by the Licensee. Factory presets, interface artwork, documentation, and other content supplied with the Software may not be extracted, repackaged, or distributed separately from the Software.

3. Restrictions

Except where applicable law expressly permits otherwise, the Licensee may not:

- copy, sell, sublicense, rent, lease, lend, transfer, publish, upload, or redistribute the Software or a license to it;
- make the Software available for download or provide access to it as part of a shared plug-in library, hosting service, or similar service;
- reverse engineer, decompile, disassemble, or attempt to discover the Software's source code;
- remove or alter copyright, trademark, attribution, or proprietary notices;
- circumvent or interfere with any licensing, copy-protection, signing, or security mechanism; or
- use the Software or its included assets in a way that infringes another person's rights or violates applicable law.

The Licensee may not transfer this license without the Licensor's prior written permission.

4. Ownership

The Software is licensed, not sold. The Licensor retains all right, title, and interest in the Software, including its source code, object code, interface, artwork, documentation, factory presets, and all associated intellectual-property rights, except for third-party components owned by their respective licensors.

No rights are granted except those expressly stated in this Agreement.

5. Third-Party Components

The Software may contain or depend on third-party software, including the JUCE framework. Third-party components remain subject to their respective licenses and notices. Nothing in this Agreement grants the Licensee rights to third-party components beyond those provided by their applicable licenses.

6. Updates and Compatibility

The Licensor may provide updates, corrections, or new versions at the Licensor's discretion. Unless accompanied by different terms, updates supplied for the Software are governed by this Agreement.

The Licensor does not guarantee compatibility with every computer, operating-system version, digital audio workstation, plug-in host, audio device, or future platform update.

7. Support

Any support is provided at the Licensor's discretion through the support contact identified with the product. This Agreement does not guarantee a particular support response time or require the Licensor to provide maintenance, updates, or new features.

8. Refunds

Purchases and refunds are administered under the policy displayed by the seller at the time of purchase, subject to any non-waivable rights under applicable consumer law.

9. Disclaimer of Warranties

To the fullest extent permitted by law, the Software is provided as is and as available, without warranties or conditions of any kind, whether express, implied, or statutory. The Licensor disclaims implied warranties or conditions of merchantability, fitness for a particular purpose, satisfactory quality, title, and non-infringement.

The Licensor does not warrant that the Software will be uninterrupted, error-free, secure, or suitable for every production environment. The Licensee is responsible for maintaining backups of projects, presets, recordings, and other data.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to the Licensee.

10. Limitation of Liability

To the fullest extent permitted by law, the Licensor will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost revenue, lost data, lost recordings, business interruption, or replacement costs arising from the Software or this Agreement, even if advised that such damages were possible.

To the fullest extent permitted by law, the Licensor's total liability arising from the Software or this Agreement will not exceed the amount the Licensee paid for the Software during the twelve months preceding the event giving rise to the claim.

Nothing in this Agreement excludes liability that cannot lawfully be excluded or limited.

11. Termination

This Agreement remains effective until terminated. The Licensee may terminate it by uninstalling and deleting all copies of the Software.

The Licensee's rights under this Agreement terminate automatically if the Licensee materially breaches it and does not correct the breach where correction is possible. Upon termination, the Licensee must stop using the Software and delete all copies in the Licensee's possession or control.

Sections concerning ownership, restrictions, warranty disclaimers, liability limitations, and general terms survive termination where their nature requires.

12. Consumer Rights

This Agreement does not limit rights that cannot be waived under the consumer-protection laws applicable to the Licensee. If a mandatory law conflicts with this Agreement, that law controls only to the extent of the conflict.

13. General Terms

This Agreement is the entire agreement between the Licensor and Licensee concerning the Software and replaces prior discussions or representations concerning its licensing.

If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver of that provision.

The Licensee may not assign this Agreement without the Licensor's prior written permission. The Licensor may assign this Agreement as part of a sale, transfer, or reorganization of the Software or the Licensor's business.

14. Governing Law

This Agreement will be governed by the laws of Massachusetts, United States, without regard to conflict-of-law principles, except where mandatory consumer law requires otherwise. Any permitted legal proceeding relating to this Agreement will be brought in the courts located in Worcester County, Massachusetts, unless applicable law gives the Licensee the right to bring a proceeding elsewhere.
